Terms & Conditions

Note for GRAFEIO: English translation of the Slovenian original (splosni-pogoji), which is the legally authoritative version for a business registered in Slovenia. Spots marked ADD: ... need a real value — we'd recommend a lawyer's review before publishing, especially sections 8 (withdrawal) and 9 (liability), the two legally sensitive ones. Keep this in sync with the Slovenian version when either changes.

1. General provisions

These terms govern the relationship between
Miran Vugrinski s.p., Grafeio, Regentova ulica 20, 2000 Maribor, Slovenia, registration no. ADD, tax no. ADD (referred to below as "GRAFEIO" or "the provider") and the client ordering services presented on grafeio.si (referred to below as "the client").

By submitting an enquiry, confirming a quote, or ordering any service, the client confirms they have read and agree to these terms.

2. Services

GRAFEIO provides online-presence services for small business owners, tradespeople, clinics and salons, including:

The exact scope, price and timeline for a given order are set out in a written quote confirmed by the client.

3. Placing an order

  1. The client submits an enquiry through the form on the site or by email.
  2. GRAFEIO prepares a quote describing the services, price and an estimated timeline.
  3. The order is concluded once the client confirms the quote in writing (email is sufficient) and pays the agreed deposit.

An estimated timeline is stated in the quote for each project. The timeline may extend if the client is late or incomplete in providing the necessary materials, copy, images or feedback, or if the parties agree to expand the scope of work during the project.

6. Client obligations

The client must provide, in a timely manner, all materials, copy, images, access credentials and other information needed to carry out the order, and must hold the appropriate rights to use any materials they provide (e.g. photos, logo, text). GRAFEIO is not liable for any infringement of copyright or related rights in materials supplied by the client.

7. Copyright

All copyright in the delivered work (design, code, copy, graphics) transfers to the client upon full payment, unless otherwise expressly agreed in the quote. GRAFEIO reserves the right to feature the completed work in its portfolio and promotional materials, unless the client expressly declines this in writing.

ADD: whether purchased licences (e.g. fonts, stock imagery from paid libraries) are perpetual, or need to be renewed by the client.

8. Right of withdrawal

If the client is a consumer (a private individual ordering the service outside of their trade, business or profession) and the contract was concluded at a distance (online or by phone), they have the right, under Slovenia's Consumer Protection Act (ZVPot-1), to withdraw from the contract within 14 days of its conclusion, without giving a reason.

This right does not apply if, with the client's express consent, work on the service began before the 14-day period expired and the client was informed that this means losing the right of withdrawal (Art. 61 ZVPot-1). ADD/CONFIRM: whether you actually rely on this exception — if so, it needs to be presented explicitly to the client at order confirmation, not only stated here.

The client may also cancel an order outside the right of withdrawal, by written notice to GRAFEIO. In that case they must pay for the value of work already carried out up to the point of cancellation.

9. Limitation of liability

GRAFEIO undertakes to carry out ordered services carefully and professionally. GRAFEIO is not liable for indirect damages, loss of profit, or business interruption suffered by the client arising from the use or malfunction of the delivered website or other services, except in cases of intent or gross negligence. ADD/REVIEW: whether you want to add a cap on damages (e.g. limited to the order value) — this is common practice, but should be confirmed with a lawyer.

10. Data protection

The processing of personal data is described in the privacy policy.

11. Dispute resolution

The parties will make a good-faith effort to resolve any dispute amicably. Failing that, disputes fall under the jurisdiction of the competent court in Maribor, Republic of Slovenia.

In line with EU Regulation No. 524/2013, we inform consumers that the European Commission provides an online dispute resolution (ODR) platform: ec.europa.eu/consumers/odr. 12. Final provisions

GRAFEIO reserves the right to amend these terms. Orders already placed remain governed by the terms in effect on the date the quote was confirmed. For any questions about these terms, reach us at grafeio.creative@gmail.com.
